Agreement to Terms
By using our services, you (“Subscriber”) agree to be bound by these Terms of Service (“Terms”). If you do not agree, you must discontinue use of our services immediately.
Account Ownership and Responsibilities
Subscribers are responsible for maintaining accurate account information, including email, billing details, and contact information. You are solely responsible for the security of your account credentials.
Termination of Services
We reserve the right to terminate any account that violates these Terms without prior notice. No refunds will be issued for accounts terminated due to violations such as:
Spamming or sending unsolicited bulk emails.
Hosting prohibited content, including illegal, offensive, or copyrighted material.
Engaging in illegal activities, including hacking or distributing malware.
Payment Failure and Service Takeover
In the event of failure to make timely payments for services, Kepler Digital LLC reserves the right to take over control of any associated social media accounts and websites or any available digital assets under the control of Kepler Digital LLC until payment is made in full.
Payment & Billing Terms
All service fees are non-refundable once work has commenced, except where explicitly stated in a signed agreement.
Failure to make timely payments does not relieve the Subscriber of any contractual obligations. All outstanding dues remain payable regardless of service continuation or termination.
Early Termination Fee
If a Subscriber chooses to terminate services prior to completion of the agreed contract term:
- All outstanding dues must be settled in full
- An early termination fee of $700 will apply in addition to any pending or deferred balances
- Termination will only be considered effective upon full settlement of all amounts due
No Chargebacks / Payment Reversals
Subscriber agrees not to initiate chargebacks, payment reversals, or disputes for services rendered.
Any attempt to reverse payments after services have commenced will be considered a breach of these Terms and may result in legal action and recovery proceedings.
Limitation of Liability
Kepler Digital LLC will not be liable for:
Any indirect, incidental, or consequential damages, including loss of data, profits, or business.
Kepler Digital LLC’s total liability shall not exceed the total fees paid by the Subscriber in the preceding one (1) month of service.
Interruptions or delays in service due to external factors beyond our control.
Performance & Execution Dependency
All outcomes and performance expectations are dependent on:
- Timely communication and approvals
- Active collaboration
- Proper implementation of strategies
- Adherence to recommended positioning and execution plans
Failure to meet these conditions may impact results and does not constitute grounds for refunds unless explicitly stated in a signed agreement.
Indemnification
You agree to indemnify and hold Kepler Digital LLC, its affiliates, officers, and employees harmless from any claims, liabilities, or damages arising from your breach of these Terms or misuse of the Services.
